Effective Date: Upon Booking and Reservation

These Rental Terms and Conditions ("Agreement") govern the rental of reusable moving bins and related equipment from WINNICO HOLDINGS LLC d/b/a WinniCo Bin Rentals ("Company"). By placing a reservation, accepting delivery, or using rented equipment, the customer ("Customer") agrees to be legally bound by these terms.

1. Rental Agreement

The Company agrees to provide reusable moving bins and related rental equipment for the rental period selected by the Customer. Ownership of all rented equipment remains exclusively with the Company at all times.

2. Rental Period

The rental term shall commence upon delivery and continue through the scheduled pickup date specified in the reservation.

The Customer agrees that:

The Company may charge additional fees for rental periods extending beyond the agreed term. Requests for extensions are subject to inventory availability and Company approval. Failure to make rented equipment available for pickup may result in additional rental and service charges. 3. Delivery and Pickup

The Customer shall provide safe, unobstructed access for delivery and pickup.

The Customer acknowledges and agrees that:

Delivery and pickup dates are estimated and may be adjusted due to weather, traffic, equipment availability, safety considerations, or events beyond the Company's reasonable control. An adult representative may be required to accept delivery. Additional service fees may apply if the Company is unable to complete a scheduled delivery or pickup due to inaccessible premises or Customer-related delays. 4. Customer Responsibility for Equipment

The Customer assumes full responsibility for all rented equipment from the time of delivery until retrieval by the Company.

The Customer shall:

Exercise reasonable care in the use and storage of rented equipment. Protect rented equipment from theft, misuse, damage, destruction, or unauthorized use. Return all equipment in substantially the same condition as received, ordinary wear and tear excepted.

The Customer shall be financially responsible for the replacement or repair cost of any equipment that is lost, stolen, damaged beyond ordinary wear and tear, destroyed, or otherwise not returned.

5. Permitted Use

Rented bins are intended solely for lawful moving, storage, organization, and transportation of personal or business property.

The Customer shall not:

Use bins for hazardous, toxic, flammable, combustible, explosive, illegal, or regulated materials. Alter, modify, paint, label permanently, drill, dismantle, or otherwise damage rented equipment. Transfer, sublease, assign, or permit use of rented equipment by third parties without written authorization from the Company. 6. Condition of Equipment

All bins and equipment are rented on an "AS IS" basis and are deemed accepted by the Customer upon delivery.

The Company makes no warranties, express or implied, including any warranty of merchantability or fitness for a particular purpose, except as required by applicable law.

7. Payment Authorization

The Customer authorizes the Company to charge the payment method provided for:

Rental fees Delivery and pickup charges Extended rental fees Damage, repair, cleaning, replacement, or recovery costs Applicable taxes and administrative fees

Any unpaid balances may be subject to collection efforts, and the Customer shall remain responsible for all reasonable costs incurred in collecting unpaid amounts, including attorney's fees and court costs where permitted by law.

8. Cancellation and Rescheduling

Reservation cancellations and rescheduling requests are subject to the Company's policies in effect at the time of booking.

The Company reserves the right to reschedule deliveries or pickups due to:

Severe weather conditions Road closures Safety concerns Equipment shortages Circumstances beyond the Company's reasonable control 9. Limitation of Liability

To the fullest extent permitted by law, the Company shall not be liable for:

Damage to Customer property stored within rented bins Improper packing by the Customer Theft, vandalism, weather-related damage, or third-party actions Personal injury arising from Customer handling, loading, unloading, stacking, transporting, or use of rented equipment Indirect, incidental, consequential, special, or punitive damages

The Company's total liability, if any, shall not exceed the amount paid by the Customer for the applicable rental transaction.

10. Indemnification

The Customer agrees to defend, indemnify, and hold harmless WINNICO HOLDINGS LLC, its owners, officers, employees, agents, successors, and affiliates from and against any claims, liabilities, losses, damages, costs, expenses, or legal fees arising from:

Customer use of rented equipment Customer negligence or misconduct Violation of applicable laws Breach of this Agreement 11. Force Majeure

The Company shall not be deemed in default or liable for any delay or failure to perform resulting from events beyond its reasonable control, including natural disasters, severe weather, labor disputes, governmental actions, transportation disruptions, pandemics, utility interruptions, or other force majeure events.

12. Governing Law and Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of New Hampshire, without regard to conflict-of-law principles.

Any legal action arising from this Agreement shall be brought exclusively in a court of competent jurisdiction located within the State of New Hampshire.

13. Severability

If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These Rental Terms and Conditions constitute the entire agreement between the Customer and the Company regarding the rental transaction and supersede all prior oral or written communications relating to the subject matter herein.

15. Acceptance of Terms

By placing a reservation, submitting payment, accepting delivery, or using rented equipment, the Customer acknowledges that they have read, understood, and agreed to be bound by these Rental Terms and Conditions.
